Position Description:

The Governance Specialist is responsible for partnering with the Director, Governance to develop cutting-edge governance resources, services and trainings that support boards of directors of Girl Scout councils. The incumbent focuses on being proactive in the development of governance resources and training initiatives; serving as an internal consultant to Girl Scout councils and as liaison to other Girl Scouts of the USA (GSUSA) department members to ensure that all pertinent deliverables are high quality and meet the needs of councils. She/he provides council boards of directors with tools, resources and services designed to improve and enhance their functioning and performance. The specialist provides technical expertise in the areas of governance and the democratic process to councils, reviewing and recommending revisions to basic documents, e.g., bylaws, articles of incorporation and policies. She/he tracks nonprofit sector trends, identifies best practices, and stays abreast of current literature and legislation in the field of nonprofit governance, using this information to develop and enhance governance resources. The incumbent prepares materials and resources for new board chair training and consults with board chairs and CEOs on governance issues. Working cross-functionally with other GSUSA staff teams, she/he ensures the consistency of governance messages and integration of governance work for councils.

Qualifications:

* Minimum of 5 years' experience in a nonprofit organization preferred, with an emphasis on governance, board development and strategic planning * Demonstrated experience enhancing, improving and building relationships both internal and external at all levels * Proven expertise in researching, designing and developing cutting-edge governance resources, tools and training incorporating current research and best practices preferred * Proven knowledge of regulations impacting nonprofits as it applies to bylaws, articles of incorporation and other nonprofit legal documents * Excellent written/verbal communication, interpersonal and networking skills * Strong consulting and customer service skills with a focus on high standard services * Excellent training design, facilitation and presentation skills * Strong computer skills with emphasis on Microsoft Office Suite and experience developing Web content a plus * Experience in a Girl Scout council a plus * Travel approximately 30-40% of the time * Driver's license required * Telecommuting an option * Bachelor's degree in non-profit management, political science, organizational development or related area or equivalent relevant experience EOE/Committed to Diversity
